Brody Wilkinson’s Real Estate Group advises clients on all aspects of real estate acquisitions and sales. Our clients include banks, business owners, and real estate investors and developers. The Real Estate Group regularly collaborates with the firm’s Business & Finance Group to provide strategic advice regarding the appropriate structure of transactions. In addition to counseling clients on real estate contract negotiations, title issues and financing, we also help our clients navigate complex matters such as sale-leasebacks and 1031 like-kind exchanges as well as provide practical guidance in reviewing due diligence.

Attorneys in the Real Estate Group regularly handle acquisitions and dispositions for business and individual clients. Our involvement in these transactions includes:

  • Purchase & sale agreements
  • Loan documents
  • Title, lease & other diligence review
  • 1031 like-kind exchanges
  • Land use, zoning & environmental approvals

Representative matters include:

Representation of the purchaser in connection with its acquisition and financing of a 40-acre vineyard as well as the assets of its associated winery and events business.

Representation of the seller of a 100,000 square-feet multi-sport recreation facility as well as the assets of its sports programming business.

Representation of the non-profit Squash and Education Alliance in connection with its expansion into Connecticut, including its acquisition and development of a recreational and educational center in Bridgeport.

Representation of a transportation business in connection with the sale of its 35-acre multi-million dollar facility, a portion of the consideration for which included seller financing and a leaseback of part of the property for continued operations.

Representation of a buyer in a particularly complicated short sale of a property in Southport that was significantly underwater as well as encumbered by two mortgages and three IRS liens. With patience and perseverance, we kept the transaction alive while the seller slowly negotiated the buyer’s offer with multiple lien holders. As the process unfolded, we also helped our client with various temporary housing rentals.  Almost six months later, we successfully closed the transaction.
